HERMAN, of Statesville, Iredell County, North Carolina, decliare this to be my last Will and hereby revoke any Will previously made by me. After the payment of my just debts, funeral e xpenees, and the cost of a modest tombstone or monument, I dispose of my estate as follows: ARTICIE I [I direct that all Estate and Inheritance Taxes livied against my estate as a whole or against any portion thereof, or against any legatee or devisee or beneficiary under this Will, or against the proceeds or the payee of the proceeds of any policy of insurance on my life, shall be paid by me executor out of the funds of my general estate. ARTICLE II I bequeath all my tangible personal property and effects contained in or used in connection with my residence at the time of my death (including the family automobile or autombiles but not including money, stocks, bonds, notes or any other securities or choses in action) to my wife, Mary Miller Herman, if she shall survive me; or, if my wife shall predecease me, I bequeath the aforees- said tangible personal property and effects to my children living at the time of her death, to be @quitably divided among thew. ARTICLE III I bequeath ana devise all the residue and remainder of my property and estate of every nature, wherever situate, to the WACHOVIA BANK AND TRUST COMPANY ( a North Carolinaéorporation with an office located in the City of Salisbury, North Carolina) IN Brust for the following uses: 19 The entire net income derived from my trust estate shall be paid monthly or quarterly to my wife, Mary Miller Herman, during her lifetime. If in the opinion of my Trustee, the net income payable to my wife under the terms of this Will, supplemented by income or other funds available from all other sources to her, shall not be sufficient comfortably to maintain and Support my wife and to meet her reasonable needs in the station in life which she occupies, then, in that event, my Trustee is authorized, in the exercise of its sole discretion, to pay over to my wife such sums out of the principal of my tbust estate as my Trustee shall from time to time deem requi- site under the then existing circumstances, 2) Upon the death of my wife, my then entire trust estate shall be divided into as many shares as shallbe requird in order to &pportion one such share to each of such of my children, Mary Miller Herman, born February 3, 1935, and Patricia Jane Herman, born Sep- tember 7, 1938, as shall then be living and one such share to the then living issue of each of such of my children as shall then be dead, such issue representing its parent in such divisiong and appor- tionment, and I hereby direct that any child or children hereafter born to me, shall share in this trust estate equally with the children now borne If is also my wish, in order to provide for an equitable division of this trust estate, that my Trustee require my children born, or hereafter born to mé, or the living issue of such of my children as shall then be dead, to account to it for any mo qe" or properties received by them, or their parent, from me, eith/b gifts or through life insurance payable to the, or for their benefit, or otherwise, and my Trustee shall first charge the share of each child born, or hereafter born, or the living issue of such of my children aS shall then be dead, with the sums received direct from me, before proceeding to divide this t rust estate, and the several shares shall thenceforth be administered and disposed of as hereinafter provided and directed: a@) One such share shall be apportioned to each of my children living at the time of such division, and the net inceome there- from shall be paid to such chilc, or for the benefit of such child, until her or she shall attain the age of twenty-five( 25) years; when such child shall atéain the age of twenty-five years, one-fourth (14) of the principal of his or her share shall be paid over and delivered to him or her, Cischarged of the trust; thereafter the net income from the remainder shall he paic to such child until her or she shall attain the age of thirty (30) years , whereupon one-third (1/3) of the then remaining principal shall be paid over and delivered to him or her, discharged of the trust; thereafter the net éncome from the remainder shall be p@ id to such chile until her or she shall attain the age of thirty-five (35) years; whereupon onephalf (1/2) of the then remain- ing principal shall be pald over and delivered to him or her, Cischarged of the trust; thereafter the net income from the remaincer shall be paid to such child until her or she shall attain the age of forty (0) years, whereupon the remainder of such child's share shall be paid Over to him or her, Cischarged of the trust, b) If any child of mine shall die prior to the full and final termination of the trusts herein created and if he or she shall leave issue Surviving him or her, such child's share of the un- distributed portion thereof shall inure to the benefit of his or her Surviving issue, and my Trustee is authorized and directed to continue the trust as to such share and to pay or apply the net income derived therefrom for the Support and education os such issue until the youngest shall attain the age of twenty-one (21) years, whereupon the then principal of such share shali be distributed to such issue in equal portions, per Stripes, Cischarged of the trust. But if any child of mine shall die prior to the full and final termination of the trusts hereina created, without leaving any issue Surviving him or her, or ief such chile shall leave issue and if all such issue shall die prior to the full and final termination of the trusts here- in created, then, and in either of Such events, the undestributed portion of such deceased child's Bhare shall augment the shares of my other children or t heir respective issue, and be administered and disposed of in accordance with the terms and provisions of the trusts herein created for their benefit. And I authorize the said Trust Company, acting in its capacity either as Executor or as Trustee, in the exercise of its discretion, to retain any securities or proper- ties or other assets owned by me at the time of my death, so long as the retention thereof shall seem tobe advisable and for the best interests of my estate or the trusts herein created; to sell real estate or personal property, either publicly or privately for cash or on terms, without an order of court, or to exchange or convert the same as and when my Executor or my Trustee shall deem it advisable to do so; to compromise, arbitrate, or otherwise adjust chaims in favor of or against my estate; to participate in the liquication, r eorgani- zation or other financial readjustment of any corporation or busi- ness in which my estate shall be financially interested, and to accept and hold any stock or securities issued under any such plan; to determine what is principal and what is income and what expenses and other charges shall be charged against income and what against principal; to invest and reinvest in such stocks or bonds or other securities as shall be approved by the Trust Investment Commit tee of my Trustee, without being restricted tostatutory securities; to divide my estate either in mony or kind, or partly in money and partly in kind, and the decision of my Executor of my Trustee con- cerhing the relative values of the properties and assets so divided shall be conclusive and binding upon every one interested in my estate; to execute such deeds, contracts, bills of sale and otler instruments in writing as my Executor or my Trustee shall deem requisite in the businesslike settlement of my estate or the admin- istration of the trusts herein created, "g q so p e Y y D ‘u R U L I O Y y 9r 6 l As compensation for its services, as Executor, I direct that the WACHOVIA BANK AND TRUST COMPANY shall retain 5% of the combined receipts and disbursements of personal property up to $5 000.00; 23% of such combined receipts and disbursements between 550,000.00 and $5009000.00; % of such combined receipts and disbursements in excess of $500,000.00; except that on receipts of proceeds of life insurance policies, if any, payable to my estate, it shall retain 2% of such receipts up: to $25,000.00 ana 1% in excess of $25,000.00. NOTE: The widow is entitled to $1,000 out of the rop, stock and provisions of the deceased, and $300 addi- tional for each member of the fa y under eighteen years old as her year’s support. The commissioners shall make and sign three li of articles gned, stating the value of each, the number of the family, and deficiency to be paid by the personal representative. One of these lists shall be delivered to the widow, one to the personal repre- sentative, and one returned by the Justice, within twenty days after the assignment, to the Clerk of the Superior Court of the county, who shall file and record the same, and enter judgment against the personal representative, to be paid when the assets shall come into his hands, for any residue found in favor of the widow. In case there be no stock, crop or provisions on hand, the year’s support may be allotted by commissioners from the personal property of the deceased and also any debt known to be due him, and said allotment shall vest the said property in the widow and her right to collect said debt.
