JUDGMENT: Henkel by his general guardian, Mrs. Lila Dunavant Henkel, and Mrs. Lila Dunavant Henkel, individually, Ex Parte It appearing to the Court that the Commissioner heretofore &ppointed has sold the lends mentioned and described in thepetition in this cause, at private sale at the price of $4,920.00 to a. Mi. Josey, and that he has complied with the terms of seid sale as ordered by the Court: “aid Commissioner is now, therefore, ordered and directed to deliver the deed to said G. M. Josey for seid land and to make his final settlement as Commissioner, showing the distribution of the funds as heretofore ordered by the court. This cause is referred to Honorable John M. V. Henkel, late of Iredell County, died seized and possessed of real and personal property in said County,having first made, published and declared a last will and testament, sufficient in law to pass both real and personal property, which was duly admitted to probate by the Clerk of the Suverior Court of Iredell County, State aforesaid, on the 18th day of January,1926; that Mrs. Lila Dunavant Henkel, Le P. Henkel, H. J. Dunavant, Henry A. Rhyne, F. Ge Harper, J. A. C. Wadsworth, and C. V. Henkel, Jr. were named Executors of said Last Will and Testament, and that letters testamentary were duly issued to said persons as Executors of said Will, and they at once enteredupon the discharge of their duties as such. =2- That since said letters testamentary were issued the following named Executors have died, to-wit: H. J. Dunavant, J. A. Ce. Wadsworth and Le Pe Henkel, and that Mrs. Lila Dunavant Henkel, Henry A. Rhyne, Fe. Ge Harper and C. Ve Henkel, Jr. are the surviving executors of said estate. ~3- That the Last Will and Testament of the said C. V. Henkel the following words and figures, to-wit: "LAST WILL AND TESTAMENT OF COLUMBUS VANCE HENKEL. I, Columbus Vance Henkel, this the first day of October, Nineteen Hundred and Twenty-four, will and bequeath to my beloved wife, Lila Dunevant Henkel, all the income erising from my real estate and personal property, to be used for the education of my son Charles Vance and daughter Dorothy and the support of Mrs. Henkel and the family, as she may deem fit. My common stock in the Henkel Hotel Company is to remain intact for fifteen years. My property known as the Henkel Craig Live Stock Company building, on North Center Street in Statesville, N. Cc. said property fronting 70 feet on North Center Street and running back 205 feet to Landmark Alley, to be held intact fifteen years; unless my executors deem it wise and profitable to sell any of the above property and reinvest the proceeds in other rental property, first mortgage or non-taxable securities, and at the end of this fifteen years, if they deem it wise, said property may be sold and the proceeds equally divided between my children. In the case of the death of either of said children, without issue, his or her share in this property goes to the surviving children, share and share alike. I wish the remainder of my estate to be invested in solvent, interest bearing securities, to remain in tact twenty years, unless it should be deemed advisable to give the children a home, and in such case, funds for this purpose are to be withdrawn from this balance, no withdrawal, however, to be in excess of $20,000.00 for any one child, said property to be purchased and to stand in their own name. With this provision however, that should Cc. V. Henkel, Jr. desire to withdraw his portion for business purposes, he may withdraw 310,000.00 on his twenty-third birthday and $10,000.00 on his twenty- fifth birthday, in lieu of his investing said accounts in a home. I recommend the purchasing of certain shares of lienkel Hotel Company preferred stock. I hereby appoint my beloved wife, Lila Dunevant Henkel, Le |} He J. Dunavant, Henry A. Rhyne, F. G. Harper, and J. A. C. Wadsworth as my executors and further, when GC. y. Henkel, Jr. shall become twenty-one years of age, he is also to be one of the executors of this will. It is my desire that out of the proceeds of my estate, my executors pay Bill Simrell $100.00 to apply on his home, and pay Lula Ramsey $50.00 if she is still in the employ of the family. Coffey " -4- That, in the due administration of said estate, the executors have paid off and discharged all of its indebtedness excent the sum of Six Thousand Dollars ($6,000.00). -5- That, in order to pay the indebtedness and to prevent the sale of the real estate belonging to said estate at sacrifice prices, due to the general depression now prevailing throughout the country, it will be necessary to secure a loan of Six Thousand Dollars ($6,000.00), to be secured by a first mortgage, or deed of trust, lien on the real property hereinafter described; that the only business property belonging to ssid estate is that referred to in the Will and known as the lenkel Craig Live Stock Company Building; that this property consists of a two story brick building on the West side of North Center Street in the City of Statesville, adjoining the lands of J. B. Cooper, et al, and fronting 70 feet on Center Street and running back 205 feet to Landmark place, or alley; that it was the desire of the late C. V. Henkel that this property be held in tact for fifteen years, as set out in the second clause of his Will; that,owing to changed conditions since the execution of said Will, and the death of the said G V. Henkel, the above described lot is the only real estate upon which a loan can be secured, as the other real property consists of farming lands, residential and un- improved city and suburban _sts, none of which can be used, under present financial conditions, as security for the funds necessary to be borrowed in order to prevent a sacrifice of the property of the estate, as above alleged; that arrangements have been made whereby the estate can secure a loan from the Security Life & Trust Company of Winston Salem, Ne Ce, at rate of six per cent interest per annum, principal to be payable in installments of Five Hundred Dollars ($500.00) per year for the first four years and the balance at the end of five years from date of said loan, provided said executors are authorized by the Court to execute a first mortgage ,or deed of trust, lien on the above described property to secure the re-payment of said loan. -6- That Vrs. Lila Dunavant henkel, Widow, Mrs. Dorothy H. Summerville (Married), Mrs. Lila H. Spillman (Married), Mrs. Virginia DeBow (Married) and C. V. Henkel, Jr. (Single), all of whom are of age, are the at law, next of kin, legatees and devisees of tie said C. V. Henkel, deceased, and as such, are tie only persons interested in his estate, and that the interests of said beneficiaries will be materially promoted by borrowing said money and securing the same by a first mortgage, or deed of trust, lien on the above described real estate; that they, and each of them, approve the loan and desire thet it be made and secured by a first mortgug » or deed of trust, lien on the above described property, and will, with the husbands of those who are married, join in the execution of said mortgage or deed of trust, and as evidence of their approval, they and their husbands have joined in this petition and hereto affix their names. Thet the Executors of C. VY. Henkel have, in the due administration of his estate, paid off and discharged all of the outstanding indebtedness against it, including the legacies to Bill Simrell and Lula Ramsey, except the sum of Six Thousend Dollars ($6,000.00). (>). That it is necessary, in order to preserve said estate, and to prevent the sacrifice of its assets, that said Executors be permitted to borrow the sum of Six Thousand Dollars ($6,000.00), to be used in paying off and discharging the remaining outstanding indebtedness. (c). That the only property owned by said estate upon which a loan can be secured is the business property located on the West side of North Center Street, in the City of Statesville, fronting 70 feet on said Street and running back 205 feet to Landm-rk place, or alley, and upon which is located the two story brick building known as the ienkel-Craig Live Stock Company Building. (ad). That the other property belonging to said estate consists of sepsrate tracts of farming lands, residential and unimproved City and suburban lots which, owing to the present depression and general financial condition of the Country, cannot be sold or disposed of at anything like the value of said property, and that, if the executors were required to sell and dispose of this property in order to meet the utstanding obligations of the estate, it would result in the sacrifice of seid property to the irreparable injury of the beneficiaries of said estate. (e). That said Executors have mede arrangements whereby they can borrow the sum of Six Thousand Dollars ($6,000.00), to be used in paying off and discharging the outstanding indebtedness ageinst said estate, from the Security Life & Trust Company of Winston Salem, N. Henkel, Jr., is now twenty-one years of age and hes duly qualified as one of the executors of the said Columbus Vance Henkel; that L. P, Henkel, H. J. Dunavant and J. A. C. Wadsworth are dead, and thet the other executors named in said will are now acting as said executors; it further appear- ing to the court that all of the debts of said estate except the specific legacies to the heirs at law gave been paids and it further appearing to the cout that the princi pal of said estate now in the hands of the Surviving executors consists chiefly of real estate and notes secured by real estate and chattel mortgages, also certain stock in various land and other domestic corporations; that it is impossible for the estate to be handled in a profitable manner by the executors, and thet it is necessary to make some disposition of same; thet the last will and testament of the said Columbus Vance Henkel requests that the remainder of ssid estate, which is the princi pal of the estate now in the hands of the exeam tors, be invested in solvent, interest-bearing securities and remain intact twen ty years unless it should be advisable to give his said children a hom » and in such cases proceeds for this purpose should be withdrawn from seid fund; and it further appearing to the court that the price of real estate and the stock owned by the said C. V. Henkel Estate have shrunk to such low levels that it is impossible to Carry out in the strictest Senee the paragraph of the Said will above set out: and in order to properly finance said estate it is necessary thet the tulk of the remainder now in the hands of the executors be sold to raise assets, in order that said funds mey be invested «nd said real estate handled profitably; and it further appearing to the cowt that the heirs at law of the said C. V. Ha kel have organized the Vance Hankel Company, and said company has isswd preferred s tock carrying dividends of one-half of one per cent annually, ani that said © rporation has agreed to purchase the bulk of said estate ng in the hanis of said executors for $65,588.72 and to pay the samd with preferred stock of said company; it further appearing to the curt from the affidavits of disinterested perties that the said sum of $65,588.72 is a fair and reasonable price for said assets and is as much or more than they would bring if offered for sale at public auction; am it further appearing to the court from the petition filed in this causé that it is advisable and to the best interest of the estate that said assets be sold to Vance Henkel Company; and it further appearing to the court that the executars,widow of the said ©, V. Henkel, heirs st lew and their husbands and wives have joined in this petition for the purpose of m&king it binding on all parties having the renotest interest in the assets of said estate now in the hands of the executors; and it further appearing to the court that the allegetions in said petitim are tme and that the prayer contained in said petition should be granted. NOW, THEREFORE, it is considered, ordered, ad judged and decreed that the executors, widow, heirs at law and their husbands and wives be, md they are hereby authorized to execute a deed Conveying the bulk of the assets of the estate of ©, V, Henkel, now in the hands of said executors,to Vance Hen kel Company, and the said executors are hereby permitted and authorized to accent as payment for said assets preferred stock in said corporation equalling the amount of #65 ,588.72; and it is further ordered that said executors or their successors report annually to this court the proceeds derived from ssid stock as required by laW; and it is further ordered that the cost of this action be taxed against the estate of the said ©.
